Terms of Service and Service Agreement

These Terms govern the legal relationship between DuoVision and users of the Platform. By registering for or accessing the Platform, you represent that you have read, understood, and agree to be bound by these Terms.

IMPORTANT: This document is a binding legal agreement governing your entire service relationship with DuoVision. You should seek legal advice if you do not understand any section.

Definitions and parties

In these Terms, the party referred to as “DuoVision” means the DuoVision platform operated by Fatih Erol Demirci. Address for notices: Selçuk Mahallesi Şehit Ömer Halisdemir Caddesi GizliBahçe Konutları B Blok No:6 Selçuklu/Konya.

“Platform”The web application, APIs, and related digital services provided by DuoVision

“User”Any natural or legal person registered on or accessing the Platform

“Content”Any text, image, video, or other data uploaded by the User or generated through the Platform

“Service”Instagram management, AI-assisted content creation, DM/comment assistant, content calendar, and Meta advertising tools

“Subscription”The monthly or annual payment plan the User commits to in exchange for access to the Services

Scope and delivery of the Service

DuoVision undertakes to provide the following:

Access to tools for managing Instagram and Facebook accounts
AI-assisted content creation and optimization suggestions
DM and comment management assistant
Content planning and calendar tools
Meta Ads performance monitoring and reporting

DuoVision reserves the right to improve the Services continuously. If a feature is removed, users will be notified at least 30 days in advance. The Platform targets 99.5% monthly availability (uptime); scheduled maintenance is excluded from that target.

User obligations and prohibited uses

The User represents, warrants, and undertakes that:

3.1 General obligations

The Platform will be used only for purposes consistent with the laws of the Republic of Turkey and Meta's terms of service.
The User owns or has licensed all intellectual property rights in Content they upload.
Account credentials (passwords, tokens) will be kept confidential and not shared with third parties.
The User is at least 18 years old or acts as an authorized representative of a legal entity.

3.2 AI-generated content disclaimer

Important — AI disclaimer: AI-assisted content and suggested replies are provided as assistance only. DuoVision does not guarantee accuracy, originality, or compliance with intellectual property rules. You must review outputs before publishing or sharing them on Meta/Instagram platforms, and you bear sole legal responsibility for doing so.

3.3 Strictly prohibited uses

✕Using the Platform for bots, spam, or automations that violate Instagram or Meta terms
✕Fake content, misleading advertising, or unfair competition
✕Reverse engineering the Platform, accessing source code, or building competing products using it
✕Unauthorized access to other users' accounts, data, or systems
✕Distribution of harmful, discriminatory, harassing, or defamatory content
✕Technical attacks that overload or harm the Platform (e.g., DDoS, SQL injection)

If prohibited use is detected, the account may be suspended immediately; legal action may follow, and the User may be liable for damages.

Subscription, pricing, and termination

4.1 Subscription model

Services are offered on a monthly subscription basis. Subscriptions renew automatically each month according to the selected plan.

4.2 Free trial

New users may use the Platform free of charge for seven (7) calendar days from registration. After the trial, access depends on completing payment arrangements.

4.3 Price changes

DuoVision may change subscription prices. Material changes will be communicated to the registered email at least 30 days in advance. Continued use after the notice constitutes acceptance of the new price.

4.4 Cancellation and refunds

The User may cancel at any time; cancellation takes effect at the end of the current billing period.
No refunds for partial periods of use.
If the Service is unavailable for more than 72 hours due to a Platform fault, a pro-rata credit may be requested.

4.5 Payment method

Payments are collected by bank transfer (wire/EFT). Payment credentials are not stored in DuoVision's systems. Payment is confirmed manually and the User is notified by email.

Intellectual property

5.1 Platform ownership

All software, design, interfaces, logos, content, and branding of the Platform are owned by DuoVision and protected by applicable IP law. The User receives only a personal, non-transferable, limited license to use the Platform.

5.2 User content

The User remains the exclusive owner of Content they upload. The User grants DuoVision a limited, royalty-free license to display, process, and deliver that Content solely to provide the Service. That license ends when the Service ends.

5.3 Feedback

Suggestions and feedback about the Platform may be used by DuoVision without compensation.

Third-party services and Meta

The Platform uses APIs provided by Meta Platforms, Inc. ("Meta"). You acknowledge that:

You have independently accepted Meta's Terms of Service and Platform Policy,
Meta may suspend API access unilaterally, and DuoVision is not responsible for such actions,
Instagram content limits and API rate limits are set solely by Meta and may change.

You expressly accept the above.

Limitation of liability

To the maximum extent permitted by applicable law:

DuoVision is not liable for indirect, incidental, special, or consequential damages (including lost profits, reputational harm, or data loss).
DuoVision's total aggregate liability for any claim shall not exceed the fees paid for the three (3) months of Subscription preceding the event giving rise to the claim.
DuoVision is not liable for suspension or sanctions on Meta/Instagram accounts resulting from User violations of Meta policies.
DuoVision is not liable for copyright infringement, misleading information, or harm to third parties arising from AI-generated outputs (see Section 3.2).

Force majeure: DuoVision is not liable for interruptions or delays caused by events beyond its reasonable control, including natural disasters, war, terrorism, cyberattacks, outages at hosting or infrastructure providers (e.g., Vercel, Supabase, Google), Meta/Instagram API outages, or government restrictions.

Consumers under Turkish law retain any non-waivable rights under Law No. 6502 on the Protection of the Consumer (Turkey), notwithstanding the foregoing limitations where such limitations are permitted only subject to mandatory consumer protections.

Privacy

Processing of personal data is described in detail in our Privacy Policy, which forms an integral part of these Terms.

Suspension and termination

9.1 Termination by User

The User may close the account at any time. Data deletion is subject to retention periods stated in the Privacy Policy.

9.2 Termination by DuoVision

Immediate termination for cause: For prohibited use, security incidents, or payment fraud, the account may be closed without prior notice.
Termination with notice: For other breaches, the User is given 14 days to cure. If the breach is not remedied, the account may be closed.

9.3 After termination

After closure, the User cannot access account data. Export of Content must be requested before the termination date.

Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Turkey. Disputes shall first be subject to mediation. If mediation fails, Istanbul courts and enforcement offices shall have exclusive jurisdiction.

Consumers may also apply to the Consumer Arbitration Board or Consumer Court in their place of residence under Law No. 6502 (Turkey), where applicable.

Changes and notices

DuoVision may amend these Terms. Material changes will be:

Published as a notice on the Platform home page,
Sent to the registered email address,
Communicated at least fourteen (14) days before they take effect.

Continued use after the effective date constitutes acceptance of the updated Terms.

Severability and waiver

If any provision is held invalid or unenforceable, the remaining provisions remain in full force. The invalid provision will be replaced by a valid provision closest to the parties' intent.

Failure to enforce a right does not waive that right.
